Why Poland?
Modern Poland is one of the few European countries where there is a constant increase in economic indicators and an improvement in the general standard of living. Poland is a leader among the countries of Central and Eastern Europe in terms of GDP growth and the size of bilateral trade.
A huge advantage of Poland is its geographical location, thanks to which it has become a kind of “bridge” between the countries of Western and Eastern Europe.
At the same time, the cost of labor, with its high quality, is inexpensive compared to other European countries.
Poland also attracts Ukrainians with a similar culture and mentality, as well as the ease of learning the language, which is easier than other European countries.
In this article, we will analyze how to register the most common and optimal form of organizational and legal activity in Poland – Spółka z ograniczoną odpowiedzialnością, abbreviated as Sp. z o.o. In Ukraine, the corresponding analogue of Sp. z o.o. is a Limited Liability Company (LLC).
1. You need to do your homework well
First of all, decide what your company will do. Then conduct a market expertise, a project expertise, assess risks, prospects, analyze competitors, find out what exactly this market “loves”.
Think about and write down what area and for what needs you need a room, how many employees you need, in which city it is better to start a business.
Think about and write down the projected start-up and monthly mandatory expenses.
This way you will have a business case with which you can take the next steps.
❗️ Important! The better your “homework” is done, the fewer surprises there will be in the future!
2. Choose a type of activity
According to your business plan, we select types of activities for the future company in accordance with Polish legislation.
The Polish Classification of Activities (PKD) is an approved list of types of activities that entrepreneurs can engage in in Poland. According to current legislation, an entrepreneur has a choice of about 400 codes of types of activity. The number of types of activity for one company is legally unlimited.
The process of selecting codes of types of activity should be entrusted to qualified lawyers who will accurately and correctly perform this task.
3. Choosing a company name
The company name is the first thing your partners and clients will hear about your business. Some compare the process of choosing a name for a business with choosing a name for a future child.
An apt, simple, original company name is one of the best options for free advertising, so you need to take its choice as seriously as possible. The company name should sound clear, should not be too long, should be associated with your business, and cause a positive perception.
❗️ This is important! When choosing, you should consider whether the company name you have determined does not coincide with the name of an already existing, registered, and operating company. To do this, you should check the planned company name for coincidence with those already registered in Poland. In the event of the existence of the same name, the company registration will be impossible, you will need to choose another option.
We recommend entrusting the name verification process to qualified lawyers.
4. We determine the number of founders
Therefore, after completing the above stages of preparatory work, you need to decide whether you will manage the business yourself or with a partner / partners. The founder of the company can be one or several people.
If you plan to develop a business with partners, we recommend, if possible, involving Poles – they are better versed in local subtleties and specifics.
It should be noted that the minimum authorized capital of Sp. z o.o. must be at least 5,000 PLN.
In this case, if you decide to be the sole founder, you will be obliged to pay contributions to ZUS (Zakład Ubezpieczeń Społecznych) – the Polish Social Insurance Office.
The amount of the contribution to ZUS is floating. Today, for an entrepreneur, it is:
487 PLN / month – in the first two years from the date of establishment of the company;
1172 PLN / month – for owners of companies that have existed for more than two years.
5. Notarize the company
The next step in starting a business in Poland is to formally certify the existence of the company. It is necessary to certify your will to establish Sp. z o. o. with a notary in Poland. The company’s charter (Akt Ząłożyciątski Spolki) must meet the requirements established by Polish law.
The cost of certifying the charter with a notary depends on two factors:
– the amount of authorized capital;
– the number of founders of the company.
6. Company registration in Poland
And finally: we submit the notarized charter and correctly completed registration applications to the Commercial Department of the National Court Register (Wydział Gospodarczy Krajowego Rejestru Sądowego), at the place of registration of the company.
We pay the registration fee (600 PLN).
You can check whether your business is registered on the official website of the Ministry of Justice of Poland (Ministerstwо Sprawiedliwości), in the judicial register. There, the company is assigned a registration number. After confirming the fact of the company’s registration, we open a bank account.
That’s it, you can start working!
❗️ Important! Your key task as a businessman is to do business, compete, overcome all difficulties, and make a profit.
Qualified lawyers for a moderate fee will quickly and efficiently open a turnkey company in Poland, saving you unnecessary time, effort, and nerves.
We recommend that you immediately include the costs of legal and accounting support in your investment budget, hire professionals, and immediately be able to provide quality services.
And devote the time that will be freed up to the maximum development of your business in Poland.
