What is an LLC – a limited liability company?
An LLC is a company with an authorized capital divided into shares, the size of which is determined by the constituent documents. Today, a limited liability company is the most common form of conducting business in Ukraine.
How to register or create an LLC?
The main advantages of an LLC compared to other organizational and legal forms of business activity are:
– the absence of restrictions on the size of the authorized capital of an LLC;

The procedure for registering a limited liability company:
To register an LLC yourself, you need to go through the following stages:
Stage 1. Choosing the name of the Limited Liability Company.
First of all, you need to decide on the name of your company. The name must be unique (you can check the uniqueness of the name on the official website of the Ministry of Justice of Ukraine https://usr.minjust.gov.ua/ua/freesearch).
Stage 2. Choosing the address of registration of the Limited Liability Company.
The address of registration of the LLC may be the address of state registration of residence of one of the founders (participants) of the LLC or a rented premises in accordance with the lease agreement.
Stage 3. Determining the types of economic activity for the company (LLC).
You must determine the types of economic activity of your company (LLC) according to the Classifier of Types of Economic Activities (KVED-2010), which are exclusive and exhaustive.
Stage 4. Determine the founders of the LLC and their shares in the authorized capital. Elect the director of the LLC.
You will need to determine the number of founders (participants), the authorized capital and the size of the shares of each participant of your LLC. The minimum size of the authorized capital of an LLC is not determined by the legislation of Ukraine. The director of the LLC can act without restrictions or have restrictions that are determined by the charter.
Stage 5. Preparation of documents.
For state registration of your LLC, you must prepare:
-Form 1 – Application for state registration of the creation of a legal entity;
-Decision or protocol of the LLC;
-Charter of the LLC.
-A document confirming the registration of a foreign person in the country of its location (if the founder of the LLC is a foreign legal entity).
Stage 6. State registration of the LLC.
The process of registering an LLC lasts 24 hours after receipt of documents submitted for state registration.
