Methods of liquidating companies in Ukraine and Poland

In the process of a Ukrainian or Polish company’s activity, it may be necessary to terminate its activities due to the achievement of the goal for which it was created, unprofitability, or for other reasons.

It is worth noting that the procedure for terminating a company in Poland is as close as possible to the procedure for terminating a company in Ukraine, with the exception of details in the actual execution of documents.

In general, there are 3 ways to terminate a company’s activities in Ukraine and Poland:

1. “Classic liquidation”, the essence of which is to terminate the company’s activities by decision of its owners, while all its rights and obligations are terminated.

2. “Reorganization” in which all rights and obligations of the company are transferred to a new (other) company in the order of succession. Reorganization can be carried out by: merger, acquisition, division or transformation by decision of the owners.
3. “Alternative liquidation”, the essence of which is to re-register the company with other owners, while all the details of the company change, only its registration number in the Unified State Register remains unchanged, and new individuals or legal entities become the owners of the companies.
This method of liquidation is the simplest and fastest, since it does not require laying off employees and undergoing tax and pension audits.

If we talk about a Polish company, the entire procedure can be done online, without the physical presence of the company owners.
